I (We), the undersigned prospective buyer(s) hereby acknowledges receipt of confidential information about the businesses listed above. I have sought out above information purely to evaluate the above business for purposes of purchasing same. I understand that the confidential information I have received includes, but is not limited to, any financial and/or operational information about the above business and the fact that the business is for sale.

In consideration of having been provided the above information, I (WE) hereby agree:

(1) Not to reproduce or divulge any such information to anyone including but not limited to Realtors and Business Brokers. To discuss if necessary the information with my Accountant and Legal Counsel to secure their advice and counsel, in which case I agree to obtain their consent to maintain such confidentiality.

(2) To conduct all further inquiries about the above business through Vernon A. Martin CID, Inc. which I acknowledge to be the agency first providing such information to me and recognize as the exclusive agent of the listing. I will not attempt to contact the owners, their agents, employees, customers or creditors, and to return all information provided when and if I decide not to pursue the business opportunity.

I (We) understand that Vernon A. Martin CID, Inc. has entered into a contract with the owner of the above business or their authorized agent which provides for a commission to be paid to Vernon A. Martin CID, Inc. , and that Vernon A. Martin CID, Inc. represents the seller(s) in all transactions, furthermore all information furnished regarding property or business for sale or lease is from sources deemed reliable, however, no warranty or representation is made as to the accuracy thereof and same is subject to verification by buyer.
